Please read these terms and conditions of use carefully before using this website. Your use of the ProjectGround website, having a “home page” located at www.projectground.com, is expressly conditioned upon your acceptance of the following terms and conditions (collectively referred to herein as, the “Agreement”). By using this website, you signify your assent to these terms and conditions. If you do not agree with any part of the following terms and conditions, you must not use this website.
1. DEFINITIONS.
A. The term “Member(s),” as used herein, refers to any individual or business entity that visits or uses the Website, is registered with ProjectGround.com, publishes or posts any materials within the Website, such as advertisement or articles of any kind, and/or acts in the capacity of a ProjectOwner and/or Service Provider.
B. The term “Project(s),” as used herein, refers to an assignment or job that a ProjectOwner would like to have a Service Provider perform. Depending on the context, the term “Project(s)” may also refer to a written description of such assignment or job that is published within the Website by such ProjectOwner.
C. The term “ProjectOwner(s),” as used herein, refers to any individual or business entity that posts a Project within the Website or otherwise requests (or receives), whether directly or indirectly, and services of any Service Provider.
D. The term “Service Provider(s),” as used herein, refers to any individual or business entity that submits bids for Projects or otherwise renders any type of service, whether directly or indirectly, in connection with any Project.
E. The term “Transaction(s),” as used herein, refers to the contractual arrangement that is created between a Service Provider and ProjectOwner, whereby a Service Provider performs a Project for a ProjectOwner in exchange for a fee that is paid by said ProjectOwner.
F. The term “Website,” as used herein, refers to the website having a home page located at www.projectground.com, including all sub-domains thereof.
2. THE WEBSITE.
A. The ProjectGround Website offers ProjectOwners the ability to publish Projects within the Website, wherein such Projects involve the application of skilled labor in a variety of areas, including without limitation home-based projects of all kind, such as but not limited to home-improvement, home-maintenance and other home-based projects (e.g., electrical, carpentry, house cleaning, interior design, window treatment, flooring, landscaping, lawn care, heating & cooling, plumbing, handyman, painting, roofing/chimney, remodeling/renovation, automotive, real estate/moving-related projects), event planning, pet services, and the like. Similarly, the Website offers Service Providers the ability to review, bid for, and perform Projects, wherein such Projects are paid for by ProjectOwners. ProjectGround, Inc., including the owners, officers, members, employees, contractors, directors, affiliates, and agents thereof, shall at no time be considered a party to any Transaction that is consummated using, within, or as a result of the Website. Rather, as more fully set forth below, ProjectGround is merely an internet-portal through which ProjectOwners and Service Providers are brought together for the purpose of doing business and consummating Transactions between such parties. For the avoidance of doubt, all Members shall carefully review, assess and validate each Project, bid for a Project, Service Provider, ProjectOwner, and the credentials of any Service Provider or ProjectOwner before consummating a Transaction with any other Member. The decision to engage a Service Provider and/or to accept and perform a Project that is posted by a ProjectOwner is at your sole and exclusive discretion and you hereby accept all risk associated therewith.
B. For the avoidance of doubt, and without limiting the foregoing, you acknowledge and agree to the following:
(i). If you ever represent yourself as or act in the capacity of a ProjectOwner, you hereby agree and acknowledge (a) that any damages that you incur, whether personally, financially, and/or to any property (including without limitation any damage to property caused by fire, structural defects, water damage, and the like), in connection with the provision of any services by any Service Provider, whether in connection with a Project or otherwise, shall not be recoverable (in whole or in part) against ProjectGround, but rather would be recoverable only against the responsible Service Provider; (b) that any dispute arising between you and any Service Provider relating to the payment of any amounts arising from a Transaction must be addressed, litigated, resolved, and/or settled between you and such Service Provider and, furthermore, will not involve or implicate ProjectGround in any way; (c) that any dispute arising between you and any Service Provider relating to the workmanship, quality, timeliness, completion, or amendments to any work product, such as but not limited to any home improvements, arising from a Transaction or Project must be addressed, litigated, resolved, and/or settled between you and such Service Provider and, furthermore, will not involve or implicate ProjectGround in any way; (d) that any unlawful, unethical, or unwanted action taken by any Service Provider, including any theft, assault, harassment, or vandalism of any kind, in connection with any Project or Transaction is not the responsibility of ProjectGround and that your sole remedy would be against such Service Provider; (e) that any damages arising from and/or disputes regarding unlicensed, unbonded, and/or uninsured labor provided by any Service Provider are not the fault and/or responsibility of ProjectGround in any way; and (f) that any damages arising from and/or inconvenience caused by any unavailability of any Service Provider, regardless of whether such unavailability occurs before or after the consummation of a Transaction or performance of a Project, are not the fault and/or responsibility of ProjectGround in any way.
(ii) If you ever represent yourself as or act in the capacity of a Service Provider, you hereby agree and acknowledge (a) that any dispute arising between you and any ProjectOwner relating to the payment of any amounts arising from a Transaction or Project must be addressed, litigated, resolved, and/or settled between you and such ProjectOwner and, furthermore, will not involve or implicate ProjectGround in any way; (b) to timely and fully pay any and all invoices in connection with all Transactions and all amounts owed to ProjectGround; (c) that any dispute arising between you and any ProjectOwner relating to the workmanship, quality, timeliness, completion, or amendments to any work product, such as but not limited to any home improvements, arising from a Transaction or Project must be addressed, litigated, resolved, and/or settled between you and such ProjectOwner and, furthermore, will not involve or implicate ProjectGround in any way; (d) that any injury you sustain, whether personally and/or financially, in performing any Project shall not involve, implicate, or be recoverable (in whole or in part) against ProjectGround; and (e) you hereby warrant, represent and agree to carry sufficient insurance to fully compensate you, or any contractor, employee, or agent that you may engage, for any injury that is sustained in performing any Project and/or to fully compensate a ProjectOwner for any damage to any property that you may cause, whether directly, indirectly, or with or without fault, to such ProjectOwner’s property in connection with the performance of a Project.
3. INTELLECTUAL PROPERTY POLICY.
A. You hereby acknowledge and agree that ProjectGround may have entered into certain contractual arrangements with Service Providers, whereby such Service Providers have agreed to solicit, bid for, and consummate Transactions via the internet solely and exclusively through the Website. You hereby acknowledge and agree that any communications with any such Service Providers that are intended to induce such Service Providers to terminate any sort of relationship with ProjectGround, or otherwise reduce the amount of bids for Projects that such Service Providers would otherwise submit, may constitute an actionable interference with the business relationship between any such Service Providers and ProjectGround.
B. This Website, and each of its parts, is the property of ProjectGround, and/or its various third party vendors, customers, affiliates, providers and distributors. None of the content or data found on this Website may be copied, reproduced, republished, uploaded, posted, distributed, sold, transferred, or modified without the express written permission of ProjectGround and/or its third party vendors, customers, affiliates, providers and distributors, as applicable. In addition, the trademarks, logos and service marks displayed on this Website (collectively, the “Trademarks”) are registered or common law Trademarks of ProjectGround, its Service Providers, ProjectOwners, customers, affiliates, providers, distributors, or various third parties. Nothing contained on this Website should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any of the Trademarks without the written permission of ProjectGround or such other party that may own the Trademarks.
C. As a Member, you may have access to certain information, know-how, design information, work-flow information, and other information that is not available to the public at large. You agree not to emulate, copy, exploit or reverse engineer any of such information or know-how for any purpose whatsoever. You agree and acknowledge that the methods, business models, logic, functionality, purpose, and design of the Website are the sole and exclusive property of ProjectGround. You further agree not to misappropriate any of such information or material in any way that violates any intellectual property right of ProjectGround in any way.
D. Any unauthorized use of any content or material contained on this Website may violate copyright laws, trademark laws, patent laws, the laws of privacy and publicity, and communications regulations and statutes. Any unauthorized use of such content or material on this Website, including its reproduction, modification, distribution, or republication, without prior written permission of ProjectGround, or other third party if applicable, is strictly prohibited. The use of such content or material on any other website or in any environment of networked computers is strictly prohibited. Furthermore, the terms and conditions of ProjectGround’s Privacy Policy are hereby incorporated by reference in their entirety.
4. USE OF THIS WEBSITE.
A. This Website may be used only for lawful purposes. Transmission of any material in violation of any local, state, federal or export control law or regulation is prohibited. This includes, without limitation, material protected by copyright, patent, trademark, trade secret or other intellectual property right used without proper authorization.
B. ProjectGround does not accept responsibility for the content, materials and information published by others in this Website, including by any Service Provider, ProjectOwner, or by any of ProjectGround’s third party vendors, customers, affiliates, providers and distributors, which is accessible through the Website and does not accept responsibility for the violation of any laws resulting from such publication or distribution.
C. If any user of this Website interferes with others’ use and enjoyment of the services provided by ProjectGround, such user shall be deemed to be in violation of this Agreement. Violations of system or network security are prohibited, and may result in criminal and civil liability. ProjectGround will investigate incidents involving such violations and may involve and will cooperate with law enforcement if a criminal violation is suspected. Examples of system or network security violations include, without limitation, the following:
- Unauthorized access to or use of data, systems or networks, including any attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without express authorization of the owner of the system or network.
- Unauthorized monitoring of data or traffic on any network or system without express authorization of the owner of the system or network.
- Interference with service to any user, host or network including, without limitation, mail bombing, flooding, deliberate attempts to overload a system and broadcast attacks.
- Distribution of viruses, worms, Trojan horses and other destructive activities.
- Forging of any TCP-IP packet header or any part of the header information in an e-mail or a newsgroup posting.
- Other activities, whether lawful or unlawful, that ProjectGround determines to be harmful to its Service Providers, ProjectOwners, customers, affiliates, operations, service providers or reputation, including any activities that restrict or inhibit any other user from using and enjoying the Website.
D. Unless otherwise expressly authorized by ProjectGround, using this Website and/or the information contain therein to send unsolicited, commercial mass e-mail messages, including, without limitation, commercial advertising and informational announcements, is explicitly prohibited.
E. Although ProjectGround does not review or censor materials and information which is accessible on the Website, including Project descriptions, or other websites which may be accessed from the Website, if ProjectGround becomes aware that a user of this Website is in violation of this Agreement, ProjectGround reserves the right to suspend or terminate such user’s access to this Website without notice. Furthermore, ProjectGround reserves the right to delete and remove any information or material that is or may be published within the Website, whether in connection with a Project description, a bid for a Project or otherwise, if ProjectGround believes, in its sole discretion, that such information or material may violate the terms and conditions of this Agreement.
F. If you are a Member, you represent and warrant as follows: (i) neither your Project description, nor your proposal or bid for a Project (collectively, “Your Material”), violates any local, state, or federal law, rule, or regulation, including any labor regulations, laws of decency, laws related to the use, sale, offer for sale, or trafficking of illegal substances, or any other law or regulation of any kind; (ii) neither Your Material nor the exploitation thereof will violate the rights to privacy or publicity of any person or constitute a defamation against any person, or in any other way violate the rights of any person whomsoever; (iii) you own all rights to Your Material free and clear of any liens, encumbrances, and other third party interests, and any claims or litigation, whether pending or threatened; (iv) neither Your Material nor any element thereof is pornographic, obscene, offensive to community standards, discriminatory, promotes violence or contains false advertising, hate speech or viruses, Trojan horses, worms, time bombs, cancelbots, or other harmful programming language; (v) you have full right and power to make and perform this Agreement without the consent of any third party; and (vi) you shall defend, indemnify and hold ProjectGround, its licensees and assigns, and its directors, officers, and agents harmless from all claims, liabilities, damages, costs and reasonable legal fees and expenses arising from any breach or alleged breach by you of any representation, warranty or agreement hereunder and/or your tortious conduct.
G. You further agree to comply with the following terms, conditions, policies and guidelines when using this Website:
(i) You agree not to post, publish, or list a Project within the Website unless you have a bona fide intent to engage a Service Provider;
(ii) You agree not to post, publish, or list a bid for a Project within the Website unless you have a bona fide intent to perform, complete and fulfill the Project for the amount specified in such bid (and no more);
(iii) You agree not to post, publish, or list a Project for mere informational purposes with no legitimate intent of awarding the Project to a Service Provider;
(iv) If you award a Project to a Service Provider, you agree to promptly communicate with such Service Provider to coordinate having the Project performed;
(v) If you accept a Project that is published by a ProjectOwner, you agree to promptly communicate with such ProjectOwner to coordinate having the Project performed;
(vi) You agree not to disparage, in any way, any other Service Provider, ProjectOwner, visitor, or user of this Website;
(vii) You agree to use reasonable efforts to leave honest, truthful and objective “feedback,” using the ProjectGround “feedback” reporting system, following the completion of a Project;
(viii) You agree not to, directly or indirectly, leave “feedback” for yourself or induce others to leave fabricated or undeservedly positive “feedback” on your behalf;
(ix) You agree not to unjustifiably leave negative “feedback” for any other Service Provider or ProjectOwner for the sole purpose of artificially deflating the reputation of such other Service Provider or ProjectOwner;
(x) You agree not to use the ProjectGround “feedback” reporting system in any way to “blackmail” other Service Providers or ProjectOwners or otherwise threaten to leave negative “feedback” for such other Service Providers or ProjectOwners;
(xi) You agree not to offer to sell or purchase services in exchange for positive “feedback”; and
(xii) You agree not to trade services in exchange for positive “feedback.”
5. ADVERTISING.
A. If you publish any advertisements, promotional items, product or service descriptions, logos, trademarks, service marks, coupons, or similar communications within or using the Website (collectively referred to herein as an “Advertisement”), in any form whatsoever, you acknowledge, represent and warrant, agree to, and will comply with the following terms and conditions: (i) neither the Advertisement nor any element thereof infringes the copyright, trademark or patent in any other work or violates any law or regulation; (ii) neither the Advertisement nor the exploitation thereof will violate the rights to privacy or publicity of any person or constitute a defamation against any person, or in any other way violate the rights of any person whomsoever; (iii) you own all rights to the Advertisement free and clear of any liens, encumbrances, and other third party interests, and any claims or litigation, whether pending or threatened; (iv) neither the Advertisement nor any element thereof is pornographic, obscene, offensive to community standards, discriminatory, promotes violence or contains false advertising, hate speech or viruses, Trojan horses, worms, time bombs, cancelbots, or other harmful programming language; (v) the Advertisement does not offer for sale, advertise, or promote any goods or services the sale of which violates any law, rule or regulation of any kind; (vi) you shall defend, indemnify and hold ProjectGround, its licensees and assigns, and its directors, officers, and agents harmless from all claims, liabilities, damages, costs and reasonable legal fees and expenses arising from any breach or alleged breach by you of any representation, warranty or agreement hereunder and/or your tortious conduct; (vii) you agree to redeem, acknowledge, fulfill, and accept all gift cards, gift certificates, coupons, discounts, or other offers of any kind which you publish or make available within the Website; and (viii) you agree that any and all offers, invitations, prices, discounts, information, and data contained in the Advertisement is accurate and does not constitute false advertising in any form whatsoever.
B. You hereby acknowledge and agree that ProjectGround makes no representation or warranty of any kind regarding the effectiveness or quality of the Advertisement or any advertising or promotion that you may undertake in connection with the Website. For the avoidance of doubt, ProjectGround makes no representation or warranty of any kind regarding the number of visitors or “traffic” to the Website or the commercial impression or consumer acceptance of the Website. Furthermore, you hereby acknowledge and agree that (i) ProjectGround shall not be obligated to conduct any marketing, promotion, or advertising in connection with the Website; (ii) ProjectGround shall have the right, in its sole and exclusive discretion, to refuse to publish and remove any Advertisement within the Website on the grounds that such Advertisement violates any term, provision or condition of this Agreement or that the Advertisement will reflect poorly on the reputation of the Website or ProjectGround; and (iii) ProjectGround shall have the right to publish advertisements of other third parties within the Website, including advertisements that promote goods and/or services that are competitive with your business in any way.
C. You agree and acknowledge that ProjectGround, in its sole and exclusive discretion, shall control and govern the placement, visibility, and accessibility of your Advertisement within the Website. In addition, you agree to timely and fully pay ProjectGround any and all fees that it charges for the publication of the Advertisement within the Website.
D. In the event that you have entered into a separate Advertising Agreement with ProjectGround, for the avoidance of doubt, the terms and conditions of such Advertising Agreement shall govern the terms and conditions under which you publish Advertisements within the Website.
6. AGE AND RESPONSIBILITY.
A. You represent and warrant that you are of sufficient legal age to use this Website and to create binding legal obligations for any liability you may incur as a result of the use of this Website or in connection with any Transaction. You understand that you are financially responsible for all uses of this Website by you and those using this Website on your behalf.
B. You agree and acknowledge that any representations that you make within or using the Website (including in connection with any Transactions), whether as a Service Provider or ProjectOwner, regarding your identity, credentials, work experience, age, gender, insurance status or coverage, and/or business affiliation is true, accurate, current, and does not include any fabrications of any kind.
7. USER INFORMATION.
A. ProjectGround reserves the right to collect, maintain, and use information that your web browser provides to ProjectGround’s web server, including without limitation the website from which you linked to the Website, the identity of your Internet Service Provider, or the type of browser you are using. ProjectGround may use such information in an aggregated form, such as to measure the usefulness and popularity of the Website. The terms and conditions of ProjectGround’s Privacy Policy are incorporated herein by reference in their entirety.
B. If you are a Member, ProjectGround reserves the right to charge any and all credit and/or debit cards that you have used in connection with, or made of record within, the Website. ProjectGround reserves the right to charge such credit and/or debit cards to satisfy any and all amounts owed to ProjectGround, including any interest and/or delinquency charges that may apply thereto, for any membership fees, subscription fees, and/or commissions arising out of Transactions.
C. ProjectGround reserves the right to contact you, whether by mail, e-mail, telephone, or through other means, regarding any matter or issue arising out the compliance or noncompliance with the terms of this Agreement. In addition, ProjectGround shall be entitled to provide you, whether by mail, e-mail, telephone, or through other means, with certain newsletters, announcements, notices, and/or other communications, provided that you do not otherwise submit a request to ProjectGround that you wish to be excluded from ProjectGround’s distribution list of such newsletters, announcements, notices, and/or other communications. For the avoidance of doubt, however, if you are a Member, you hereby agree and acknowledge that you may not be excluded from ProjectGround’s distribution list of such communications, as provided in the Member Agreement.
8. PRICING/ADVERTISING DISCLAIMER. While efforts have been made to make this Website helpful and accurate, due to the open nature of this Website, and the potential for errors in the storage and transmission of digital information, ProjectGround does not warrant the accuracy of information obtained from this Website, including any Project descriptions, Service Provider profiles, ProjectOwner profiles, and/or Member profiles. Project descriptions published in our Website are the representations of ProjectOwners. Similarly, proposed bids and related service descriptions are the representations of Service Providers. Advertised prices and other information relating to subscriptions and memberships offered by ProjectGround are subject to change without notice.
9. EXCLUSION OF WARRANTY. ProjectGround MAKES NO WARRANTY OF ANY KIND REGARDING THIS WEBSITE AND/OR ANY MATERIALS PROVIDED ON THIS WEBSITE, ALL OF WHICH ARE PROVIDED ON AN “AS IS” BASIS. ProjectGround DOES NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENCY OR RELIABILITY OF ANY OF THE CONTENT OR DATA FOUND ON THIS WEBSITE AND EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND THOSE ARISING BY STATUTE OR OTHERWISE IN LAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. FOR THE AVOIDANCE OF DOUBT, PROJECTGROUND HEREBY EXPRESSLY DISCLAIMS ANY AND ALL responsibilitIES, LIABILITIES, REPRESENTATIONS, WARRANTIES, AND/OR GUARANTEES OF ANY KIND RELATED TO the WORK PRODUCT OR OUTCOME OF ANY PROJECT OR TRANSACTION, INSOFAR AS PROJECTGROUND IS NOT A PARTY TO ANY SUCH TRANSACTION AND IS NOT RESPONSIBLE FOR PERFORMING ANY PROJECT IN ANY WAY WHATSOEVER.
10. LIMITATION OF LIABILITY. ProjectGround ASSUMES NO RESPONSIBILITY, AND SHALL NOT BE LIABLE FOR, ANY DAMAGES TO, OR VIRUSES THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THIS WEBSITE OR YOUR DOWNLOADING OF ANY MATERIALS FROM THE WEBSITE. IN NO EVENT SHALL ProjectGround OR ANY THIRD PARTY CONTRACTORS, MEMBERS, CUSTOMERS, AFFILIATES, PROVIDERS, AND DISTRIBUTORS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, DAMAGE, OR ANY SPECIAL, EXEMPLARY, PUNITIVE, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST DATA OR LOST SAVINGS), WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH (I) ANY USE OF THIS WEBSITE OR CONTENT FOUND HEREIN, (II) ANY FAILURE OR DELAY (INCLUDING, BUT NOT LIMITED TO THE USE OF OR INABILITY TO USE ANY COMPONENT OF THIS WEBSITE), OR (III) THE PERFORMANCE OR NON-PERFORMANCE BY ProjectGround OR ANY THIRD PARTY CONTRACTORS, MEMBERS, CUSTOMERS, AFFILIATES, PROVIDERS, AND DISTRIBUTORS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES TO SUCH PARTIES OR ANY OTHER PARTY.
11. LINKS. While using this Website, you may choose to link to third party websites that are not affiliated with ProjectGround. ProjectGround is not responsible for the contents of these third party websites, or any subsequent links, and has no control over the contents therein. For this reason, ProjectGround does not represent or warrant that the contents of any third party website is accurate, compliant with state or federal law, or compliant with copyright or other intellectual property laws. All opinions expressed on third party websites are not those of ProjectGround, and ProjectGround does not endorse the contents of such third party websites in any way. ProjectGround is not responsible for web casting or any other form of transmission received from any linked website. Any reliance on the contents of a third party website is done at your own risk and you assume all responsibilities and consequences resulting from such reliance. If you decide to access other websites, you do so at your own risk.
12. SYSTEM AVAILABILITY. ProjectGround makes every effort to maintain 100% system availability, except during scheduled maintenance periods. Should we experience technical difficulties, ProjectGround is not responsible for Projects, or bids for Projects, which are not received, processed, posted and/or accepted.
13. VIOLATIONS OF THIS AGREEMENT. In the event you violate or attempt to violate any part of this Agreement, ProjectGround reserves the right to terminate your access to this Website immediately, in its sole discretion, with or without notice of any kind. ProjectGround also reserves the right to involve and cooperate with law enforcement agencies, and to pursue a civil lawsuit or criminal prosecution for any and all alleged or actual illegal activities involving this Website.
14. INDEMNIFICATION. You agree to indemnify, defend, and hold harmless ProjectGround and its affiliates, officers, directors, employees, representatives and its third party Service Providers and ProjectOwners from and against any and all claims, proceedings, damages, injuries, losses, costs, and expenses (including reasonable attorneys’ fees and expenses) arising from your use of this Website and/or breach of this Agreement, regardless of the nature of the cause of action or claim.
15. RESERVATION OF RIGHTS. Any and all rights not expressly granted to you in this Agreement are hereby reserved by ProjectGround.
16. GOVERNING LAW. This Agreement and its performance shall be governed by the laws of the State of Virginia, United States of America, without regard to its conflict of laws provisions.
17. ASSIGNMENT. You may not assign, convey, subcontract or delegate your rights, duties or obligations hereunder. ProjectGround may assign this Agreement to any purchaser of all or substantially all of its assets or business to which this Agreement relates.
18. MODIFICATION. ProjectGround may at any time amend and modify this Agreement and your continued use of this Website will be conditioned upon the terms and conditions in force at the time of your use. You may not modify this Agreement.
19. ADDITIONAL TERMS. Additional and/or different terms and conditions may apply to purchases of ProjectGround’s services offered through the Website. If applicable, you agree to abide by such other terms and conditions.
20. SEVERABILITY. These terms and conditions shall be deemed severable. In the event that any provision is determined to be unenforceable or invalid, such provision shall nonetheless be enforced to the fullest extent permitted by applicable law, and such determination shall not affect the validity and enforceability of any other remaining provisions.
21. ENTIRE AGREEMENT. Subject to Section 19 above, and any separate agreement that you may enter into with ProjectGround, including that certain Subscriber-ProjectOwner Agreement, this Agreement constitutes the entire agreement between you and ProjectGround relating to the subject matter hereof, and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter hereof. |
